Since recently when close Outlook 2000 (Internet mail only) it dessapear
from the desktop but Task Manager --->Processes still shows OUTLOOK.EXE
there, though it is not shown in Task Manager ---> Applications. As a
result Outlook would not open again unless I go to Task
Manager --->Processes and end OUTLOOK.EXE there.
Why is that and is there a remedy?

It just means that you have a 3rd party solution installed that integrates
with Outlook. Said application isn't honoring Outlook's request to close
and keeps it open in the background.
