Help with understanding windows licensing

I am in the process of adding 3 new Windows 2003 servers to our
network.
2 terminal servers and 1 Exchange 2003 server. We are on a Windows
2000 domain using Exchange 2000. I will be keeping the domain on
Windows 2000 for now and upgrading Exchange to 2003. I have about 50
users. 32 of them will be using the terminal servers and everyone will
be using exchange. The 32 users will be split up between the 2
terminal servers.

So here is my understanding, please correct me if i'm wrong:

I need 32 Terminal Server "per user" CALs. Now do I need 16 Windows
2003 "per user" CALs for EACH terminal server?

Same thing with Exchange. I know I need 50 exchange CALs, but do I
also need 50 Windows 2003 CALs?

I hope my questions made sense.

You need:

32 TS, per user CALs
50 windows CALs for the whole environment regardless of the number of
servers as long as all your servers are configured in "per seat" mode.
Windows CALs are good for an unlimited number of servers.
50 Exchange CALs

Plus Office Licenses Windows Server Licenses and Exchange Server licenses
too.

Now will those CALs be installed on the domain controller server? Will
it matter that the domain will still be on Windows 2000 and i'm trying
to install Windows 2003 CALs?

The CALs don't get installed anywhere. It is like an honor system.

does that apply to Exchange CALs as well?

I definetly know for terminal server you need to install the CALs on
the TS License server. Right?

Sorry my reply is so late. Been offline for a while. Yes, TS CALs are the
exception. The rest you don't need it "install"
