Can I use VISTA software from a retired computer that I own on a different computer I own?

I'm retiring a HP laptop with VISTA (installed at factory).

 

Can I legally use the VISTA software to upgrade an older Inspiron laptop with XP? I'll NOT be using the HP computer anymore in the future - so the VISTA would be used on only one computer - although not the original one.
