While upgrading from 8.0 to 8.1, the upgrade fails about 95% thru and reverts to 8.0, what wrong?

I have tried the upgrade three time, taking several hour each time to get thru to the failure. It just reverts! If I knew why, I'd try and fix whatever is failing. Please help! Continue reading...
